Articles Of Incorporation

A document filed with a state in the United States by the founders of a corporation. After approving the articles, the state issues a certificate of incorporation; the two documents together become the charter that gives a corporation its legal existence. The charter includes such information as the corporations name, purpose, amount of authorized shares, and par value.

Once the articles of incorporation are filed with the secretary of state, corporate existence begins.
