Management Buyout

Existing management buys all of a company's publicly held shares, usually paying a premium over the current market price as an enticement, and then takes the company private. In the case where the management has to borrow to buy the shares, this is a leveraged buyout. The reasons for doing this include the ability of the managers to generate companies more profitably as private vs. public companies.
