Poison Pill

A strategy by a corporation as a preventive antitakeover measure, i.e., a hostile takeover. It allows shareholders to purchase shares in either their company or in the combined target at a substantial discount, usually 50%. The hope is that this discount will make the takeover prohibitively expensive.
