Tender Offer

A stock purchase offer made directly to shareholders in a takeover bid. This is done whether the directors have endorsed the offer or not. The offer is public and is an invitation by a buyer to all stockholders to sell their shares at a specified price for a specified time. In a hostile takeover, the price is usually higher than current market price as an inducement to sellout.
